ProofPrep Terms and Conditions

These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User", "you" or "your") and DruxAMB, LLC ("Company", "we", "us" or "our"), the owner and operator of ProofPrep ("Platform").

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM.

1. ACCEPTANCE OF TERMS

By accessing or using the Platform, you agree to be bound by this Agreement and all applicable laws and regulations. If you do not agree with any part of this Agreement, you must not access the Platform.

2. DEFINITIONS

  • "Content" refers to all text, images, videos, audio, code, software, and other materials that are available on the Platform.
  • "User Content" means any content submitted, uploaded, or transmitted by users through the Platform, including interview responses and feedback.
  • "Cryptocurrency" refers to digital or virtual currencies used for payment on our Platform.
  • "Credits" refers to the internal currency used to access interview services on the Platform.
  • "Digital Wallet" refers to software that allows users to store and manage their cryptocurrency.

3. ELIGIBILITY

You represent and warrant that:

  • You are at least 18 years of age
  • You possess the legal authority to enter into this Agreement
  • Your use of the Platform will not violate any applicable laws or regulations

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Registration

To access certain features of the Platform, you must register for an account. When registering, you agree to provide accurate, current, and complete information.

4.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account
  • Taking responsibility for all activities that occur under your account
  • Notifying us immediately of any unauthorized access

4.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates this Agreement or is harmful to other users, us, or third parties, or for any other reason.

5. SERVICE DESCRIPTION

5.1 AI Interview Platform

ProofPrep provides an AI-powered interview preparation platform that includes:

  • Simulated interview experiences with AI interviewers
  • Real-time feedback on performance
  • Interview transcripts and recordings
  • Performance analysis and improvement recommendations

5.2 Service Availability

We do not guarantee that the Platform or any content will always be available or uninterrupted. We reserve the right to withdraw or amend the services we provide without notice.

6. PAYMENT AND BILLING

6.1 Credit System

Our Platform operates on a credit-based system:

  • Credits must be purchased to access interview services
  • Credits have a validity period of 2 months from the date of purchase
  • Credit prices are subject to change without prior notice
  • New users receive a limited number of complimentary credits

6.2 Cryptocurrency Payments

We accept payments exclusively through cryptocurrency:

  • All transactions are processed through blockchain networks
  • Transaction fees may apply based on network conditions
  • We are not responsible for any errors or losses due to incorrect wallet addresses or transaction details

6.3 Refund Policy

Due to the nature of cryptocurrency transactions and digital services:

  • All purchases are final and non-refundable
  • In exceptional circumstances, refunds may be considered at our sole discretion
  • Any approved refund will be processed in the same cryptocurrency as the original payment

7. DIGITAL WALLET SERVICES

7.1 Coinbase CDP Integration

Our Platform integrates with Coinbase CDP SDK for digital wallet services:

  • We do not store your private keys
  • You are solely responsible for securing your wallet credentials
  • We are not responsible for any loss of cryptocurrency due to user error

7.2 Wallet Creation

Upon registration:

  • An EVM-compatible wallet will be created for you
  • The wallet is associated exclusively with your user account
  • You can view your wallet address and transaction history through your account settings

7.3 Transaction Security

While we implement reasonable security measures:

  • We cannot guarantee absolute security of blockchain transactions
  • You acknowledge the inherent risks associated with cryptocurrency transactions
  • We are not liable for losses resulting from network failures, hacks, or other security breaches not caused by our negligence

8. USER RIGHTS AND RESPONSIBILITIES

8.1 Acceptable Use

You agree not to:

  • Use the Platform in any way that violates any applicable laws
  • Use the Platform for unauthorized commercial purposes
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers
  • Upload invalid data, viruses, worms, or other malicious software
  • Impersonate another person or entity
  • Interfere with any other user's enjoyment of the Platform

8.2 User Content

When you upload, submit, or transmit User Content:

  • You retain ownership of your User Content
  • You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your User Content for the purpose of providing and promoting our services
  • You represent that you have all necessary rights to grant this license
  • You consent to the use of your interview responses and recordings for service improvement and AI training purposes

8.3 Prohibited Activities

You may not:

  • Engage in any activity that exploits, harms, or threatens to harm children
  • Share content that is illegal, fraudulent, defamatory, obscene, or otherwise objectionable
  • Engage in any activity that violates the intellectual property rights of others
  • Attempt to access, tamper with, or use non-public areas of the Platform
  • Probe, scan, or test the vulnerability of any system or network
  • Forge any TCP/IP packet header or any part of the header information in any communication
  • Use the Platform to transmit any unsolicited advertising or promotional materials

9. INTELLECTUAL PROPERTY

9.1 Our Intellectual Property

The Platform and its original content, features, functionality, and design elements are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 License to Use Platform

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for personal, non-commercial purposes in accordance with this Agreement.

9.3 Restrictions

You may not:

  • Modify, create derivative works from, distribute, publicly display, publicly perform, or republish our content without our prior written consent
  • Delete or alter any copyright, trademark, or other proprietary rights notices
  • Access or use the Platform for developing a similar or competitive service

10. PRIVACY

10.1 Data Collection and Use

We collect and process information about you in accordance with our Privacy Policy. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate.

10.2 Interview Recordings

We use and store:

  • Voice recordings from interviews
  • Transcripts of interview sessions
  • Performance metrics and analysis This data is used to provide feedback, improve our services, and train our AI systems.

10.3 Data Retention

We retain user data for as long as your account is active or as needed to provide you services. You may request deletion of your data subject to our legal obligations and legitimate business interests.

11. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:

  • THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS FROM USING THE PLATFORM WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF INTERVIEW PREPARATION WILL MEET YOUR EXPECTATIONS
  • ANY ERRORS IN THE PLATFORM WILL BE CORRECTED
  • THE PLATFORM WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM
  • DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
  • DAMAGES IN ANY MANNER RELATED TO YOUR USER CONTENT
  • DAMAGES RELATED TO CRYPTOCURRENCY TRANSACTIONS, INCLUDING LOSS OF DIGITAL ASSETS

THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Platform.

14. EXTERNAL LINKS

The Platform may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

15. MODIFICATIONS

15.1 To the Platform

We reserve the right to modify or discontinue, temporarily or permanently, the Platform or any features or portions thereof without prior notice.

15.2 To this Agreement

We reserve the right to update or change this Agreement at any time. The most current version will be posted on the Platform with the effective date. Your continued use of the Platform after we post any modifications to the Agreement will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Agreement.

16. TERMINATION

16.1 By User

You may terminate this Agreement at any time by discontinuing use of the Platform and closing your account.

16.2 By Company

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach this Agreement.

16.3 Effect of Termination

Upon termination:

  • All rights granted to you under this Agreement will cease
  • You must cease all use of the Platform
  • Unused credits will be forfeited with no refund
  • All provisions of this Agreement which by their nature should survive termination shall survive

17. DISPUTE RESOLUTION

17.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

17.2 Arbitration

Any dispute arising from or relating to this Agreement or the Platform shall be finally settled by binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in [City, State/Province], unless we agree otherwise.

17.3 Class Action Waiver

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

18. GENERAL PROVISIONS

18.1 Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding your use of the Platform and supersedes all prior agreements and understandings.

18.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

18.3 Waiver

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. We may assign this Agreement at any time without notice.
